Terms and Conditions for Ekspertoz Virtual Assistant and Digital Marketing Services
.These Terms and Conditions (“Terms”) govern the subscription and use of Ekspertoz’s virtual assistant and digital marketing services. By engaging Ekspertoz (“we,” “us,” or “our”), you (“Client”) agree to these Terms, forming a binding agreement.
1. Service Overview
1.1 Scope of Services: Ekspertoz provides skilled professionals to assist with a range of business needs, including but not limited to:
Administrative Support
Customer Service
Social Media Management
Email Marketing
Website Creation and Management
Digital Marketing Strategy
Lead Generation
Additional tasks as agreed upon during consultations.
The specific services to be rendered to the Client are further detailed in the payment form completed by the Client to finalize the agreement and obtain services. This payment form serves as the basis for the scope of work, specifying the agreed services and any additional terms relevant to the Client's needs.
1.2 Digital Marketing Strategy: Our digital marketing experts deliver strategic solutions tailored to your business, covering areas such as:
Brand development and positioning.
Marketing campaign planning and execution.
Analytics-driven marketing performance reviews.
1.3 Customization: Services are tailored to address each business's specific needs and goals, as identified during the consultation process.
1.4 Expert Matching: Ekspertoz will assign specialists with the skills and expertise to perform the agreed-upon tasks efficiently.
1.5 Modifications or Upgrades: If the Client wishes to upgrade, modify, or change the services initially agreed upon, a written request must be submitted to Ekspertoz. Any changes to the scope of services will be subject to mutual agreement and may require a revised payment form or contract amendment. The Client will be informed of any additional costs or adjustments resulting from the change in services.
2. Monthly Fees and Payment Terms
2.1 Fees: Clients agree to pay a monthly fee based on the agreed package.
2.2 Invoicing: Clients will receive invoices at the start of each billing cycle, with payment due within 7 days.
2.3 Late Payments: Failure to make timely payments may result in service suspension and a 5% late payment fee on the outstanding balance.
2.4 No Refunds: Payments are non-refundable, including unused hours, early termination, or other reasons.
3. Term and Renewal
3.1 Initial Term: The agreement begins on the date specified in the Service Agreement and continues for a minimum period of 3 months, up to a maximum of 12 months.
3.2 Renewal: Agreements automatically renew for the same duration unless terminated by written notice 30 days before the renewal date.
4. Confidentiality
4.1 Client Responsibilities: The Client agrees to:
Hold all Confidential Information disclosed by Ekspertoz, including contractor details, business strategies, and compensation structures, in strict confidence.
Use Confidential Information solely for evaluating and engaging Ekspertoz’s services.
Not disclose Confidential Information to any third party without prior written consent from Ekspertoz.
5. Non-Solicitation
5.1 Restriction: The Client agrees not to directly or indirectly solicit, hire, or engage any contractor referred by Ekspertoz during the term of this Agreement and for 24 months following the termination of this Agreement without Ekspertoz’s prior written consent.
Furthermore, the Client agrees not to directly or indirectly solicit, hire, or engage any contractors who are currently working directly with or under Ekspertoz during the term of this Agreement and for 24 months following its termination. This restriction applies whether the contractor is engaged through Ekspertoz or otherwise.
This provision is designed to prevent conflicts of interest that could arise from the Client's direct engagement of Ekspertoz’s contractors. Such actions may undermine the integrity of the business relationship between Ekspertoz and the Client, breach confidentiality agreements, or result in the loss of business opportunities or intellectual property protections that Ekspertoz is entitled to, including the potential for the contractor to misuse sensitive or proprietary information.
6. Termination
6.1 Termination Notice: Either party may terminate this agreement with or without cause upon 30 days written notice.
6.2 Early Termination: Clients must honor the full duration of the agreed term. No refunds will be issued for unused hours or remaining subscription periods.
6.3 Outstanding Obligations: Termination does not affect obligations accrued before termination, including payment for contractors referred before termination.
7. Governing Law
7.1 Jurisdiction: These Terms shall be governed by and construed by the laws of the State of Virginia, United States, without regard to its conflict of law principles.
8. Entire Agreement
8.1 Agreement Supremacy: These Terms constitute the entire agreement between Ekspertoz and the Client, superseding all prior agreements, understandings, or representations, whether written or oral.
9. Amendments
9.1 Written Amendments Only: These Terms may only be amended by a written agreement signed by both parties.
10. No Waiver
10.1 Non-Waiver: Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision of these Terms.
11. Disclaimer
11.1 Acceptance of Terms: By signing up for Ekspertoz services, the Client explicitly agrees to these Terms and Conditions, including the confidentiality, non-solicitation, payment, and termination clauses.
